OVERVIEW

Welcome to MannaBrew NZ. Throughout this site, "we", "us", and "our" refer to Marula Distributions Limited (NZBN 9429053423580), trading as MannaBrew NZ. We operate this store and website, including all related content, features, tools, products and services (the "Services"). Our store is powered by Shopify.

These Terms of Service, together with our Privacy Policy and Return & Refund Policy, describe your rights and responsibilities when you use the Services. By visiting, interacting with, or purchasing from our website, you agree to be bound by them. If you do not agree, please do not use our website.

We sell in trade. Nothing in these Terms limits, excludes or modifies any right you have under the Consumer Guarantees Act 1993 (CGA), the Fair Trading Act 1986 (FTA), or the Privacy Act 2020. Where any term is inconsistent with those Acts, the Acts prevail.

SECTION 1 — ACCESS AND ACCOUNT

By agreeing to these Terms you confirm you are at least 18 years of age, or are using this site with the consent of a parent or legal guardian.

To purchase or use certain features you may be asked for your name, email address, billing address, payment details and shipping address. You agree that the information you give us is accurate, current and complete. You are responsible for keeping your account credentials confidential and for activity carried out through your account.

SECTION 2 — OUR PRODUCTS

We make every effort to display product colours, packaging and descriptions accurately. Actual appearance may vary depending on your screen or device settings.

We may change product descriptions and pricing, discontinue any product, or limit sales to any person or geographic region within New Zealand. Price changes do not affect orders we have already accepted.

If a product is listed at an obviously incorrect price due to a technical or human error, we may cancel the order and refund you in full rather than supply at that price. We will tell you promptly if this happens, and you will not be charged.

SECTION 3 — ORDERS

When you place an order you are making an offer to purchase. We may accept or decline any order. Your order is accepted when we send you an order confirmation email.

Our products are intended for personal or household use. Purchase for commercial resale is not permitted without our written authorisation.

Returns and refunds are governed by our Return & Refund Policy, which sits alongside your CGA rights and does not replace them.

SECTION 4 — PRICES AND BILLING

All prices and shipping charges shown are in New Zealand Dollars (NZD).

Marula Distributions Limited is not currently registered for GST. No GST is charged on your order and we cannot issue a GST invoice. If our GST status changes we will update this page and our pricing display.

You agree to provide current, complete and accurate purchase and account information for every order.

SECTION 5 — SHIPPING AND DELIVERY

Where we arrange delivery, we are responsible for getting your order to you. Delivery times shown on the website are estimates, not guarantees of a specific date, unless we have agreed a specific date with you.

If your order does not arrive within a reasonable time, or arrives damaged, contact us — we will put it right under our Return & Refund Policy and the CGA. You do not need to take the matter up with the carrier; that is our responsibility, and we will pursue the carrier ourselves where relevant.

We are not responsible for delays caused by incorrect delivery details you supply, or by your failure to collect an order, and we cannot control events outside our reasonable control such as natural disasters or national carrier disruption. Where such an event causes a delay we will keep you informed and, if the delay is substantial, offer you a refund or a rescheduled delivery.

SECTION 6 — INTELLECTUAL PROPERTY

All content on this website — text, graphics, logos, images, packaging design and software — is the property of Marula Distributions Limited, MannaBrew, or our content suppliers, and is protected by New Zealand and international copyright, trade mark and intellectual property law.

You may not reproduce, distribute, modify or create derivative works from any website content without our prior written permission.

SECTION 7 — OPTIONAL TOOLS AND THIRD-PARTY LINKS

We may give you access to third-party tools or links to external sites, such as social media widgets or payment gateways. These are provided on an "as is" basis. We do not control them and are not responsible for their content, terms or privacy practices. Review their terms before using them.

SECTION 8 — RELATIONSHIP WITH SHOPIFY

Our store is hosted by Shopify Inc., which provides the e-commerce platform through which we sell to you. Sales transactions are made directly between you and Marula Distributions Limited. Shopify is not responsible for sales or product-related claims between you and us.

SECTION 9 — PRIVACY

Your personal information is handled in accordance with our Privacy Policy and the Privacy Act 2020. Please read it to understand how we collect, use, disclose and protect your information, and how to exercise your access and correction rights.

SECTION 10 — REVIEWS AND FEEDBACK

If you submit a review, idea or feedback, you grant Marula Distributions Limited a non-exclusive, royalty-free, perpetual licence to use, reproduce, publish and display that content on our website and marketing channels, alongside your first name or display name.

Reviews are collected from customers who have bought from us. Reviews confirmed against an order are shown with a Verified badge. We do not offer payment, discounts or other incentives in exchange for positive reviews. We do not edit reviews to change their meaning, and we do not remove reviews simply because they are critical. We may remove content that is offensive, unlawful, misleading, or unrelated to the product.

SECTION 11 — PROHIBITED USES

You may not use the site or its content:

  • for any unlawful purpose, or to encourage others to act unlawfully;
  • to breach any New Zealand law or regulation;
  • to infringe our intellectual property rights or those of others;
  • to submit false, misleading or defamatory information;
  • to upload viruses or malicious code, or to conduct automated scraping or data harvesting without our written authorisation.

We may suspend or terminate your access for breaching this section.

SECTION 12 — CONSUMER GUARANTEES

Your rights under New Zealand consumer law. Nothing in these Terms limits, excludes or modifies any statutory right, guarantee or remedy available to you under the CGA or FTA. Our products come with guarantees that cannot be excluded — they must be of acceptable quality, match their description, and be fit for their ordinary purpose.

Where the CGA does not apply. The CGA does not apply where goods are supplied and acquired in trade, both parties agree in writing that it does not apply, and it is fair and reasonable for both parties to be bound by that agreement. If you wish to purchase for business purposes on that basis, contact us before ordering so we can put a written agreement in place. Absent such an agreement, your full CGA rights apply.

Other warranties. Subject to your non-excludable rights, we give no warranties beyond those required by law, and the website itself is provided on an "as is" and "as available" basis.

SECTION 13 — LIMITATION OF LIABILITY

Nothing in this section limits your rights under the CGA or FTA. Where you deal with us as a consumer, you remain entitled to the remedies those Acts provide, including compensation for reasonably foreseeable loss or damage resulting from a failure to meet a consumer guarantee.

Subject to that, and to the extent permitted by law, Marula Distributions Limited and its directors, employees and suppliers are not liable for indirect or consequential loss arising from your use of the website that is not recoverable under the CGA or FTA.

SECTION 14 — INDEMNITY

You agree to indemnify Marula Distributions Limited and its directors and employees against reasonable costs and third-party claims arising directly from your breach of these Terms, your misuse of the Services, or your infringement of a third party's rights. This indemnity does not apply to loss caused by our own breach, negligence or wrongful act, and does not apply to any claim in respect of which you have rights under the CGA or FTA.

SECTION 15 — SEVERABILITY AND WAIVER

If any provision is found unlawful, void or unenforceable, it will apply to the fullest extent permitted and the remaining provisions stay in force. Failure to enforce a right is not a waiver of it.

SECTION 16 — COMPLAINTS AND DISPUTES

Contact us first — most issues are resolved quickly and at no cost to you. If we can't reach agreement, you can:

  • contact Consumer Protection (MBIE) at consumerprotection.govt.nz;
  • refer a claim to the Disputes Tribunal (claims up to $30,000); or
  • report a concern to the Commerce Commission on 0800 943 600 if you believe we have misled you.

SECTION 17 — GOVERNING LAW

These Terms are governed by New Zealand law, and you agree to submit to the jurisdiction of the New Zealand courts. Nothing in this section prevents you from bringing a claim in the Disputes Tribunal.

SECTION 18 — CHANGES TO THESE TERMS

We may update these Terms by posting a revised version on this page with an updated "Last updated" date. The Terms that apply to your order are those in force when we accept the order — later changes do not apply retrospectively. Where a change materially affects your rights, we will give notice on the website or by email.
